Terms of Service

The terms governing use of the OrganAlert platform.

1. Agreement

These terms govern access to and use of the OrganAlert platform by an authorized organization (“Customer”) and its users. By using the service, the Customer agrees to these terms and to any order form or master services agreement executed between the parties.

2. Clinical decision support — not a medical device

OrganAlert provides clinical decision support. It surfaces, structures, and scores information to assist qualified clinicians; it does not diagnose, treat, or make transplant decisions, and it is not a substitute for independent clinical judgment. All outputs must be verified against source data before any clinical decision.

3. Accounts & access

Customers are responsible for authorizing users, maintaining the confidentiality of credentials, and promptly deactivating access when no longer appropriate. Access is role-based and limited to each Customer’s organization.

4. Customer data & PHI

Customer retains all rights to data it submits. To the extent the service processes protected health information, the parties’ Business Associate Agreement governs, and its terms control over any conflict with these terms regarding PHI.

5. Acceptable use

  • Use the service only for lawful, authorized organ-evaluation purposes.
  • Do not attempt to circumvent security, access controls, or tenant isolation.
  • Do not upload data you are not authorized to process.

6. Disclaimers & limitation of liability

The service is provided “as is.” To the maximum extent permitted by law, OrganAlert disclaims implied warranties and limits liability as set out in the parties’ signed agreement. Nothing in these terms limits liability that cannot be limited under applicable law.

7. Term & termination

Either party may terminate as provided in the signed agreement. On termination, OrganAlert returns or destroys Customer PHI in accordance with the BAA.
